If arbitration is initiated in a jurisdiction outside of Canada that applies JAMS or AAA rules, the arbitration will proceed under the JAMS Mass Arbitration Procedures or AAA Mass Arbitration Supplementary Rules (as applicable), and the filing-fee caps in those procedures shall apply. This clause does not constitute consent to arbitration in any specific jurisdiction and is included solely to limit potential administrative fees if such arbitration is ever initiated.
The seat and place of arbitration will be Ontario, Canada, and the language of the arbitration will be English.
11. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. By using this Site, you agree that: (a) the seat and place of any arbitration is Ontario, Canada and the language is English, and (b) for any claim not subject to arbitration, or where arbitration is not permitted by law, the courts located in Ontario have exclusive jurisdiction and venue to resolve that claim, and you waive any objection to venue or forum non conveniens. If you are a consumer outside Canada, the mandatory consumer-protection laws of your place of residence may also apply.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
